Brand Terms and Conditions

Draft prepared 26 October 2026 · Version 2026-10-26-draft

Effective and revision dates await confirmation. These supplied drafts require verified business details and legal review before publication.

1. Purpose and Scope

These Brand Terms govern business accounts, creator discovery, campaign enquiries, and participation in collaborations coordinated through Truefluencers.

By creating a brand account or submitting a campaign enquiry, you agree to these terms where applicable. Each confirmed campaign may also require a separate signed agreement with Truefluencers.

2. Brand Account and Authority

You must provide accurate business and contact information and be authorised to represent the business you register.

You are responsible for keeping account credentials secure and ensuring that campaign instructions are provided by appropriately authorised personnel.

Truefluencers may request reasonable verification of business identity, account ownership, or authority to enter a campaign agreement.

3. Creator Discovery and Selection

You may explore approved creator profiles, portfolios, categories, and available social information.

You may select one or more creators for consideration and submit a brief to Truefluencers.

Creator profiles and audience metrics may change over time. Where appropriate, verify important campaign requirements and metrics before committing to a campaign.

Selecting a creator does not guarantee availability, acceptance, a booking, or a particular campaign outcome.

4. Campaign Briefs

You must provide an accurate and sufficiently detailed brief, including relevant information about:

  • Campaign objectives and target audience.
  • Product or service.
  • Requested platforms and content formats.
  • Deliverables and quantities.
  • Proposed timeline and publication dates.
  • Budget and commercial expectations.
  • Required brand assets and guidelines.
  • Content usage rights and paid advertising requirements.
  • Disclosure, legal, and approval requirements.

You must have permission to provide the supplied assets and must not submit unlawful, misleading, infringing, or unsafe campaign instructions.

Material changes after terms have been agreed may require revised pricing, deadlines, deliverables, or a written amendment.

5. Managed Collaboration Service

Truefluencers coordinates communication between the brand and selected creators.

Our team may contact creators separately to discuss availability, suitability, pricing, deliverables, and campaign requirements. We then coordinate commercial discussions and communicate the proposed terms to the brand.

Truefluencers may help manage briefs, contracts, schedules, progress updates, feedback, revisions, approvals, and delivery.

The precise scope of our services will be stated in the applicable proposal or agreement.

6. Pricing and Proposals

Pricing, service fees, creator compensation, taxes, currency, payment milestones, and any additional expenses will be specified in the applicable proposal or signed agreement.

A proposal is not a confirmed campaign until the relevant terms and acceptance requirements have been satisfied.

Unless expressly agreed otherwise, a proposed budget is not automatically an accepted price.

You must obtain written confirmation of the final commercial terms before expecting work to begin.

7. Contracts and Campaign Confirmation

Once the brand and Truefluencers agree on the commercial terms, the brand must sign the applicable agreement with Truefluencers.

The selected creator must separately sign the required creator agreement with Truefluencers before work begins.

Campaign work may also depend on approved briefs, payment of any required advance, product delivery, permissions, or other specified prerequisites.

A campaign is confirmed only when all required agreements and prerequisites have been completed or an authorised written exception has been agreed.

The signed campaign agreement should specify:

  • Services and deliverables.
  • Creator identity and applicable platforms.
  • Timeline and milestones.
  • Fees, taxes, and payment schedule.
  • Content usage rights and licensing.
  • Review and revision procedures.
  • Cancellation and rescheduling terms.
  • Acceptance criteria.
  • Confidentiality and other relevant conditions.

8. Payments and Invoices

You agree to pay the amounts specified in the applicable agreement and invoices according to the agreed schedule.

Payment methods, advance requirements, milestones, refund conditions, taxes, and any applicable fees must be specified before the campaign is confirmed.

Do not assume that Truefluencers provides escrow, payment protection, or a particular refund guarantee unless the relevant written agreement expressly establishes that arrangement.

Contact Truefluencers promptly if you identify an invoice discrepancy or payment issue.

9. Content Review and Deliverables

Truefluencers coordinates the delivery and review process in accordance with the agreed brief.

You must provide feedback within the agreed review periods and consolidate feedback where reasonably possible.

Revisions are limited to the scope and allowance stated in the campaign agreement. Additional deliverables, material brief changes, or extra revision rounds may require additional fees and revised timelines.

A brand must not assume that it has accepted or acquired unrestricted rights to content merely because it has received a preview or draft.

10. Intellectual Property and Usage Rights

Content ownership and licensing are governed by the signed campaign agreement.

The agreement must identify the permitted uses, including relevant platforms, duration, territory, paid advertising, editing, sublicensing, exclusivity, and attribution.

You must not use creator content outside the agreed licence.

You are responsible for obtaining appropriate rights to trademarks, product images, music, scripts, and other materials you supply.

11. Brand Responsibilities

You agree to:

  • Provide accurate campaign information.
  • Supply required assets and approvals on time.
  • Ensure that products and services can lawfully be promoted.
  • Provide truthful product claims and substantiation where required.
  • Respect creator availability and agreed professional boundaries.
  • Respond promptly to necessary campaign questions.
  • Honour signed contractual obligations.
  • Comply with applicable advertising, consumer protection, privacy, and intellectual property requirements.

12. Creator Availability and Campaign Results

Creator availability, audience response, content performance, reach, conversions, and sales cannot be guaranteed unless a specific measurable commitment is expressly included in a signed agreement.

Truefluencers coordinates the agreed service but does not guarantee that a campaign will achieve a particular commercial result.

Where performance reporting is included, the agreement should specify the metrics, data sources, reporting period, and any limitations.

13. Cancellation and Disputes

Cancellation fees, refund rights, payment for completed work, reimbursement of approved expenses, rescheduling, and termination procedures are determined by the applicable signed agreement.

Notify Truefluencers promptly if a campaign cannot proceed as planned.

Truefluencers may coordinate discussions between the brand and creator to seek a practical resolution, subject to the parties' contractual rights.

14. Confidentiality and Account Security

You must protect confidential creator information, private communications, campaign negotiations, unpublished content, contracts, and account credentials.

Use campaign information only for authorised purposes and do not disclose confidential information without permission unless legally required.

15. Suspension and Termination

Truefluencers may restrict account access or suspend campaign participation where reasonably necessary to address suspected fraud, unlawful campaign activity, security risks, serious policy violations, or contractual breaches.

Where appropriate and lawful, we will explain the issue and provide an opportunity to respond.

Termination of a platform account does not automatically cancel existing contractual obligations.

16. Limitation of Liability

To the extent permitted by applicable law, Truefluencers does not guarantee specific marketing performance, sales, reach, engagement, or creator availability.

Nothing in these terms excludes liability that cannot lawfully be excluded or removes mandatory legal rights.

Any additional limitation, indemnity, or liability cap must be established in the applicable agreements after legal review.

17. Changes to These Terms

We may update these terms as our services and legal obligations evolve.

Material changes will be communicated where required. A change to these general terms does not automatically modify an existing signed campaign agreement unless agreed by the parties or permitted by that agreement and applicable law.
